Seller responsibility: Zerkuri provides marketplace infrastructure. Sellers remain responsible for the legality, ownership, accuracy, quality, licensing and tax treatment of the digital products they offer.
1. Scope
These Seller Terms apply whenever a user lists, offers or sells a digital product through Zerkuri. They form part of the agreement between the seller and Zerkuri and must be read together with the Terms of Service, Digital Product Policy, Refund Policy and other applicable marketplace rules.
2. Seller eligibility and verification
Sellers must provide accurate information and must have legal capacity to sell the products they list. Zerkuri may require additional identity, contact, business, tax or payment information where this is reasonably necessary to operate the marketplace, comply with legal obligations or enable payouts.
Sellers must complete any onboarding or verification required by the applicable payment provider before they can receive payouts or, where necessary, before their products can be purchased.
3. Trader and private seller status
Sellers must accurately indicate whether they are acting as a trader / business seller or as a private seller where Zerkuri requests this information. Sellers must not misrepresent their legal status.
A seller's status can affect the information that must be shown to buyers and the consumer rights that apply to a transaction. Zerkuri may request information reasonably necessary to verify trader details and comply with marketplace transparency and traceability obligations.
4. Listings and product information
Sellers are responsible for ensuring that every listing is accurate, clear and not misleading. A listing should describe the digital product sufficiently for a reasonable buyer to understand what is included before purchase.
Sellers should clearly disclose relevant file types, important compatibility requirements, included files, intended use, licensing restrictions and any other material limitation that could reasonably affect a purchasing decision.
Product images, previews and descriptions must accurately represent the product being sold and must not create a materially false impression about what the buyer will receive.
5. Intellectual property and licences
A seller may only upload, advertise and sell content for which they have all necessary rights, permissions and licences. Copyright infringement, unauthorised redistribution, counterfeit content and the sale of third-party works without permission are prohibited.
Sellers are responsible for defining any licence granted to the buyer and for ensuring that the licence terms are lawful, understandable and consistent with the rights the seller actually holds.
6. Fees
Zerkuri charges a 12.5% platform fee on each successful sale. There is no monthly seller subscription fee, no listing fee and no separate payment-processing fee charged to sellers.
The applicable platform fee may be deducted automatically during payment processing. The amount shown as seller earnings may also be affected by refunds, reversals, disputes, taxes, payment provider adjustments or other legally required deductions.
Zerkuri may change its fee structure in the future. Material fee changes will be communicated where required and will apply prospectively in accordance with the updated marketplace terms.
7. Payments and payouts
Zerkuri currently uses Stripe Connect infrastructure for marketplace payments and seller payouts. Sellers may be required to maintain a valid connected payment account and complete identity, business, banking or compliance checks requested by Stripe.
Payout timing is not guaranteed by Zerkuri and may depend on the seller's country, verification status, payment method, banking system, payment provider schedule, risk checks, refunds, disputes or legal requirements.
Zerkuri may temporarily prevent purchases from a seller whose payout account is incomplete, restricted or unable to receive funds.
8. Refunds, reversals and disputes
A seller acknowledges that a completed sale may later be subject to refund, reversal, payment dispute, chargeback or other adjustment.
Where a transaction is refunded, the seller's earnings attributable to that transaction may be reversed or recovered through the payment infrastructure. Zerkuri may also reverse or refund the platform fee where appropriate.
Sellers must reasonably cooperate with legitimate investigations concerning defective files, misdescribed listings, intellectual property complaints, fraud, payment disputes or statutory consumer remedies.

9. Taxes and legal obligations
Sellers are responsible for understanding and complying with taxes, registrations, invoicing obligations, licences and other legal requirements that apply to their seller activity, except where Zerkuri is legally required to calculate, collect, report or remit a tax or other amount itself.
Zerkuri may request tax or reporting information from sellers and may disclose seller or transaction information to tax authorities or other competent authorities where required by law.
10. Prohibited seller conduct
Sellers may not manipulate marketplace systems, create fake purchases or reviews, use multiple accounts to evade restrictions, bypass Zerkuri fees, upload malicious files, intentionally misdescribe products, infringe third-party rights or use the marketplace for unlawful or deceptive activity.

11. Moderation and account restrictions
Zerkuri may review listings, reports and seller activity and may remove or hide products, restrict sales, suspend an account or take other proportionate action where there is a reasonable basis to believe that marketplace rules or applicable law have been violated.
Zerkuri may also take urgent action where necessary to protect users, payment systems, intellectual property rights, platform security or legal compliance.
12. Reviews, ratings and marketplace metrics
Sellers must not manipulate reviews, ratings, favourites, views, follower counts, achievements, purchases or other marketplace signals. Zerkuri may remove fraudulent or abusive activity and may adjust statistics where necessary to preserve the integrity of the marketplace.
13. Ending seller activity
A seller may stop publishing products or stop selling through Zerkuri. Existing transaction, refund, dispute, tax, accounting and legal records may continue to be retained or processed where reasonably necessary or legally required.
Ending seller activity does not remove obligations arising from earlier sales, including obligations relating to refunds, intellectual property claims or legal compliance.
14. Changes to these Seller Terms
Zerkuri may update these Seller Terms as marketplace features, fees, payment systems or legal requirements change. The current version will be published in the Legal Center, and material changes will be communicated where required.
